These terms govern your use of the Halo website. Using Halo’s products is covered by a separate customer agreement, explained in Section 2.
These Terms of Use (“Terms”) are an agreement between you and Halo Medical Solutions, Inc. (“Halo,” “we,” “us,” or “our”) covering your use of halohealth.app and any pages, content, and features we offer on it (the “Site”). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
1. Using the Site
You may use the Site to learn about Halo, book a consultation, and contact us. You must be at least 18 years old and able to form a binding contract. If you use the Site on behalf of a practice or other organization, you confirm that you have authority to accept these Terms for it.
2. Halo products and customer agreements
Our Scribe, Receptionist, and Billing products and related services (the “Services”) are available only under a separate written agreement. That includes our Terms of Service, any order form, and, where patient information is involved, a Business Associate Agreement. That agreement, not these Terms, governs your use of the Services, and it controls if the two conflict.
3. Not medical advice
Halo provides technology for medical practices. We do not practice medicine, and nothing on the Site is medical, legal, coding, billing, or financial advice. Using the Site does not create a provider-patient relationship with Halo. If you are a patient with a health concern, contact your provider. In an emergency, call 911.
4. Acceptable use
When using the Site, you agree not to:
- break any law or infringe anyone’s rights;
- submit patient information or other PHI through the Site’s forms, scheduling tools, or email to us unless we have a Business Associate Agreement with your practice;
- scrape, copy, or harvest content or data from the Site by automated means, except as allowed by search engines following our robots.txt;
- probe, scan, or test the Site’s vulnerabilities or interfere with its operation or security;
- reverse engineer any part of the Site, or use it to build a competing product; or
- impersonate anyone, misrepresent your affiliation, or suggest that Halo endorses you.
5. Intellectual property
The Site and its content, including text, design, graphics, video, animations, software, and the Halo name and logos, are owned by Halo or our licensors and protected by intellectual property laws. You may view and share Site pages for your own non-commercial purposes, such as evaluating Halo for your practice. You may not otherwise copy, modify, distribute, or create derivative works from the Site without our written permission.
Other names, logos, and trademarks shown on the Site, including those of EMR systems, payers, and practices, belong to their respective owners. Showing them does not mean they endorse or partner with Halo, unless we say so.
6. Feedback
If you send us ideas or suggestions about Halo, we may use them without any obligation to you.
7. Third-party services and links
The Site may link to or include third-party services, such as Cal.com for scheduling consultations. We don’t control those services and aren’t responsible for them. Your use of them is governed by their terms and privacy policies.
8. Site content and examples
We work to keep the Site accurate, but product descriptions, features, integrations, and availability may change without notice. Patients, charts, calls, claims, dollar amounts, and other examples shown on the Site are illustrative and fictional. Any similarity to real people is coincidental. Customer results vary by practice, and past results do not guarantee future outcomes. See our Disclaimers for more.
9. Disclaimer of warranties
The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, secure, or error-free.
10. Limitation of liability
To the fullest extent permitted by law, Halo and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site. Our total liability for any claim related to the Site will not exceed one hundred U.S. dollars (US$100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless Halo and its officers, employees, and agents from any claims, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Before filing any claim, both parties agree to try in good faith to resolve the dispute informally for at least 30 days after written notice. If that fails, the dispute will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
13. General
We may suspend or end your access to the Site at any time. If any provision of these Terms is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with our Privacy Policy, are the entire agreement between you and Halo about the Site.
14. Changes to these Terms
We may update these Terms from time to time and will change the “Last updated” date above when we do. Changes take effect when posted. Continuing to use the Site after that means you accept the updated Terms.
